Corporate Governance

Corporate Governance

At VanderStyn Asset Management, we believe that strong corporate governance is fundamental to building trust with our investors, maintaining the integrity of our operations, and achieving long-term success in the dynamic world of sustainable investing. Our commitment to robust governance practices underpins every aspect of our business, from fund management to investor relations.

Advisory board and technical experts
Our Advisory Board and Technical Experts provide strategic oversight and guidance to ensure that VanderStyn Asset Management operates in the best interests of our investors and stakeholders. Both are composed of experienced professionals with diverse expertise in finance, sustainable investing, carbon markets, and corporate governance.

Executive leadership
Our executive team is responsible for the day-to-day management of VanderStyn Asset Management and the Green Carbon Fund (the "Fund"). They are selected based on their expertise in fund management, sustainable finance, and carbon markets.

  • The CEO is accountable for the company's overall performance and strategic direction. Plus, he oversees the investment strategy of the Fund, ensuring alignment with our sustainability goals and fiduciary responsibilities.
  • The Fund's co-manager and head of investor relations is responsible for our Fund's operations including interfacing with our third-party partners and, most importantly, interfacing with all stakeholders and investors to ensure full transparency and complete investor experience.

Ethical standards and code of conduct
We maintain the highest ethical standards in all our operations:

  • All employees and directors adhere to a comprehensive Code of Conduct that emphasizes integrity, transparency, and responsible business practices.
  • We have a zero-tolerance policy for any form of corruption, bribery, or unethical behavior.
  • Regular ethics training is mandatory for all staff members.

Risk management
Given the innovative nature of the Fund and the evolving carbon credit market, robust risk management is crucial:

  • Our Risk Management Committee oversees the implementation of risk management strategies across all operations.
  • We employ sophisticated risk assessment tools to evaluate and mitigate potential risks in our investment portfolio.
  • Regular stress testing and scenario analysis help us prepare for various market conditions.

Compliance and regulatory adherence
We are committed to full compliance with all applicable laws and regulations:

  • Our dedicated compliance team ensures that all our operations meet or exceed regulatory requirements.
  • We maintain open lines of communication with relevant regulatory bodies and actively participate in industry discussions on evolving standards for carbon credit investments.
  • Regular internal audits and compliance reviews are conducted to identify and address any potential issues proactively.

Transparency and reporting
Transparency is a core value at VanderStyn Asset Management:

  • We provide regular, comprehensive reports to our investors on Fund performance, investment strategies, and impact metrics.
  • Our annual sustainability report details our progress in achieving environmental and social impact through the Fund.
  • We are committed to clear and timely communication of any material changes in our operations or market conditions that may affect our investors.

Stakeholder engagement
We believe in active engagement with all our stakeholders:

  • Regular investor updates ensure that our clients are well-informed and their concerns are addressed.
  • We engage with our partners involved in our nature-based carbon credit projects to ensure positive impact and sustainable practices.
  • Collaboration with industry peers, academic institutions, and policy makers helps us stay at the forefront of sustainable investing practices.

Continuous improvement
Corporate governance at VanderStyn Asset Management is an evolving practice:

  • We regularly review and update our governance policies to reflect best practices and changing market conditions.
  • Feedback from investors, employees, and other stakeholders is actively sought and incorporated into our governance framework.
  • Our team undergoes annual evaluations to ensure its effectiveness and identify areas for improvement.
At VanderStyn Asset Management, we view strong corporate governance not just as a regulatory requirement, but as a fundamental driver of our success and a key differentiator in the competitive landscape of sustainable investing. Our governance practices are designed to protect and grow investor value while ensuring that we remain true to our mission of driving positive environmental impact through innovative financial solutions.
